Welcome to Reunion. These Terms of Service ("Terms") govern your access to and use of the Reunion platform, including our website, applications, and services (collectively, the "Service"). Please read these Terms carefully before using our Service.
Important: By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.
1. Acceptance of Terms
By creating an account or using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
These Terms constitute a legally binding agreement between you ("you" or "User") and Reunion Technologies, LLC, a Texas limited liability company ("Reunion," "we," "us," or "our").
By accessing, using, or registering for the Service, or by purchasing a subscription or submitting payment information, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Service.
2. Description of Services
Reunion provides a cloud-based event management platform designed for hospitality venues, including restaurants, eatertainment centers, private dining venues, and event spaces. Our Service includes:
- Lead and event pipeline management
- Banquet Event Order (BEO) creation and management
- Multi-channel messaging (email and SMS)
- Voice calling capabilities
- AI-powered communication assistance and automated follow-ups
- Payment processing and invoicing
- Team collaboration tools
- Client proposal and contract management
- Analytics and reporting
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
3. Account Registration and Security
To access certain features of the Service, you must create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized access or security breach
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.
4. Subscription Plans and Billing
4.1 Subscription Plans
We offer various subscription plans with different features and usage limits. The specific features, limitations, and pricing for each plan are described on our Pricing page. We reserve the right to modify our plans and pricing at any time, with notice to existing subscribers.
4.2 Free Tier
Reunion may offer a free Starter tier with limited features and usage. The free tier is provided at no cost and without any guarantee of continued availability, features, or data retention.
We may modify, restrict, suspend, or terminate free-tier access at any time, with or without notice, including limiting features, usage, or access to support.
Support for free-tier users may be limited or provided on a best-effort basis. To access additional features, higher limits, or guaranteed access, you must upgrade to a paid subscription.
4.3 Billing and Payment
Subscription fees are billed in advance on a monthly or annual basis, depending on your selected billing cycle. Payment is processed through our third-party payment processor, Stripe. By providing payment information, you authorize us to charge your payment method for all fees due.
All fees are non-refundable except as expressly stated in these Terms or as required by applicable law. If you upgrade your plan, the new fees will be prorated. If you downgrade, the change will take effect at the end of your current billing period.
4.4 Automatic Renewal
Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.
4.5 Usage-Based Features
Certain features, such as SMS messaging and AI-generated messages, may be subject to usage limits based on your subscription plan. If you exceed your plan's limits, you may need to upgrade your plan or purchase additional credits.
4.6 Payment Processing Fees
When you collect payments from your clients through the Service using our integrated payment processing (powered by Stripe), a platform fee will be deducted from each payment based on your subscription tier: 1.5% for Starter, 0.75% for Essential, and 0% for Pro and Enterprise plans. This fee is in addition to any fees charged by Stripe directly. The platform fee will be automatically deducted before funds are transferred to your connected Stripe account.
Reunion acts solely as a technology platform and is not the merchant of record for payments you collect from your clients. Payments are processed directly through your connected Stripe account. You are solely responsible for all transactions with your clients, including refunds, chargebacks, disputes, taxes, and compliance with applicable laws.
4.7 Refunds
All subscription fees are non-refundable. No refunds will be provided for partial months, plan downgrades, or unused portions of your subscription. If you cancel your subscription, you will retain access to the Service until the end of your current billing period, after which your access will be downgraded to the free tier or terminated.
4.8 Taxes
All fees are exclusive of any taxes, levies, duties, or similar governmental assessments, including sales, use, value-added, or withholding taxes. You are responsible for payment of all applicable taxes related to your subscription or use of the Service, excluding taxes based on Reunion's net income.
5. User Responsibilities and Conduct
You agree to use the Service only for lawful purposes and in compliance with these Terms. You are responsible for:
- All content you upload, transmit, or store through the Service
- Ensuring you have all necessary rights and permissions to use such content
- Compliance with all applicable laws, regulations, and third-party rights
- The accuracy of information you provide to us and your clients
- Obtaining appropriate consents from your clients before communicating with them through the Service
6. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Send unsolicited or unauthorized advertising, spam, or promotional materials
- Transmit any malicious code, viruses, or harmful content
- Interfere with or disrupt the Service or servers
- Attempt to gain unauthorized access to any portion of the Service
- Collect or harvest user information without consent
- Impersonate any person or entity or misrepresent your affiliation
- Use the Service for any fraudulent or deceptive purpose
- Engage in any activity that could damage, disable, or impair the Service
- Use automated means to access the Service without our written permission
We reserve the right to investigate and take appropriate action against anyone who violates this policy, including removing content, suspending access, and reporting to law enforcement.
7. Communications Consent and Compliance
Important Notice: The Service enables you to send SMS messages, emails, and make voice calls to your clients. You are solely responsible for compliance with all applicable communications laws.
7.1 SMS Messaging
By using our SMS features, you agree to comply with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and all other applicable federal, state, and local laws governing text messaging. You represent and warrant that:
- You have obtained proper consent from each recipient before sending any SMS messages
- You will honor all opt-out requests promptly
- You will not send messages to numbers on the National Do Not Call Registry without proper consent
- Your messages will include proper sender identification
- Message frequency and content will comply with applicable laws
For messages to recipients outside the United States, you also agree to comply with applicable local laws, including Canada's Anti-Spam Legislation (CASL), Australia's Spam Act 2003, New Zealand's Unsolicited Electronic Messages Act, and the UK's Privacy and Electronic Communications Regulations (PECR).
7.2 Email Communications
You agree to comply with the CAN-SPAM Act and other applicable email laws. You must ensure that all emails sent through the Service include accurate sender information, a valid physical address, and a clear unsubscribe mechanism.
7.3 Voice Calls and Recording
The Service may include features that allow you to make voice calls and record conversations. You acknowledge and agree that:
- You are solely responsible for compliance with all applicable call recording laws
- Some jurisdictions require all-party consent before recording calls
- You will obtain necessary consent before recording any conversation
- You will inform call participants that the call may be recorded
7.4 AI-Generated Communications
The Service includes AI-powered features that can generate suggested messages and automated follow-ups. You acknowledge that:
- AI-generated content is provided as a suggestion and should be reviewed before sending
- You are responsible for reviewing and approving all automated communications
- AI-generated content may not always be accurate or appropriate for your specific situation
- Reunion is not responsible for the content of AI-generated communications you choose to send
8. Intellectual Property Rights
8.1 Our Intellectual Property
The Service, including all content, features, and functionality (including but not limited to software, text, graphics, logos, and trademarks), is owned by Reunion and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent.
8.2 Your Content
You retain ownership of all content you upload to the Service ("User Content"). By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, display, and transmit such content solely for the purpose of providing the Service to you.
8.3 Feedback
If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation to you.
9. AI-Generated Content Disclaimer
The Service uses artificial intelligence to generate content suggestions, automated follow-up messages, and other communications. You acknowledge and agree that:
- AI-generated content is provided "as is" without any warranty of accuracy or fitness for purpose
- AI-generated content may contain errors, inaccuracies, or inappropriate suggestions
- You are solely responsible for reviewing and approving any AI-generated content before use
- Reunion is not liable for any damages arising from your use of AI-generated content
- AI features may be modified, improved, or discontinued at any time
10. Third-Party Services and Integrations
The Service integrates with third-party services including, but not limited to, Stripe (payment processing), Twilio (SMS and voice), and various email providers. Your use of these third-party services is subject to their respective terms of service and privacy policies.
We are not responsible for the availability, accuracy, or content of third-party services, and we do not endorse or warrant any third-party products or services.
11. Data Ownership and Portability
You own all data you input into the Service, including client information, event details, and communications history ("Your Data"). Upon termination of your account, you may request an export of Your Data in a commonly used format. We will provide such export within 30 days of your request, subject to any applicable fees.
We retain the right to use aggregated, anonymized data derived from your use of the Service for analytical and improvement purposes.
12. Confidentiality
Each party agrees to keep confidential all non-public information received from the other party that is designated as confidential or that reasonably should be understood to be confidential. This includes your client data and our proprietary technology. Confidential information may only be used for the purposes contemplated by these Terms.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, reliability, or completeness of any information provided through the Service, including AI-generated content.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REUNION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL.
For users on a free tier, Reunion shall have no liability whatsoever for any damages arising out of or related to use of the Service.
For paid users, Reunion's total liability shall not exceed the greater of (a) the amounts paid by you to Reunion in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).
These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.
15. Indemnification
You agree to indemnify, defend, and hold harmless Reunion and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or third-party rights
- Communications you send through the Service, including SMS, email, and voice calls
- Any claims by your clients or other third parties related to your use of the Service
16. Term and Termination
16.1 Term
These Terms are effective until terminated by either party. Your subscription will continue for the term specified in your subscription plan and will automatically renew unless cancelled.
16.2 Termination by You
You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until that time.
16.3 Termination by Us
We may suspend or terminate your access to the Service immediately, with or without notice, if you:
- (a) fail to pay any fees when due,
- (b) violate these Terms,
- (c) misuse the Service, or
- (d) engage in conduct that poses legal, regulatory, reputational, or operational risk to Reunion, other users, or third parties.
16.4 Effect of Termination
Upon termination, your right to use the Service will immediately cease. You may request an export of your data within 30 days of termination. After 30 days, we may delete your data in accordance with our data retention policies.
17. Dispute Resolution
17.1 Informal Resolution
Before filing any formal dispute, you agree to first contact us at support@tryreunion.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.
17.2 Binding Arbitration
If we cannot resolve the dispute informally, you and Reunion agree to resolve any disputes through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration will be conducted in Austin, Texas, unless otherwise agreed.
17.3 Class Action Waiver
YOU AND REUNION AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
17.4 Exceptions
Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Travis County, Texas.
Nothing in these Terms limits any rights you may have under the consumer protection or privacy laws of your country of residence that cannot be waived by contract.
19. Modifications to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the modified Terms.
We encourage you to review these Terms periodically for any changes. Changes to these Terms are effective when they are posted on this page.
20. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
21. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Reunion regarding the Service and supersede all prior agreements and understandings.
22. Waiver
Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Reunion.
